A commitment to commercial ethics
This document constitutes a binding contract between the Independent Representative and iEvolution Pro LLC. Its electronic acceptance has full legal validity.
iEvolution Pro LLC ("iEvolution" or "the Company") is a company dedicated to the distribution of high-quality nutritional supplements, with a vocation to serve Spanish-speaking markets under the highest standards of commercial ethics, transparency, and responsibility.
The purpose of this Code of Conduct for Independent Representatives is to establish the clear and binding rules under which any person participating in iEvolution's network distribution program will conduct their activity. This Code is an integral part of the adhesion contract that the Representative accepts upon registering on iEvolution's platform.
iEvolution aspires to build a distribution network where competition is fair, information is truthful, coexistence among Representatives is professional and respectful, and where no participant is induced into false income expectations or practices that distort the direct selling model. This Code reflects that commitment.
The provisions contained herein are inspired by the international standards of the direct selling industry, including the guiding principles of the Direct Selling Association (DSA) of the United States, and seek to offer an ethical framework that transcends any specific jurisdiction, applying generally to all registered Representatives regardless of their country of residence.
Definitions
For purposes of this Code, the following terms shall have the meaning established below:
Eligibility and Registration
Article 1Eligibility Requirements
To register as an Independent Representative of iEvolution, the applicant must:
- Be at least 18 years of age at the time of registration.
- Provide truthful, complete, and verifiable information on the registration form.
- Have the legal capacity to enter into contracts in their country or jurisdiction of residence.
- Read, understand, and electronically accept this Code in its entirety.
- Not have an active or suspended membership in iEvolution's program under another identity or account.
Nature of the Relationship
The Independent Representative is an autonomous entrepreneur who operates their distribution business independently. This Code does not create or imply any employment, partnership, franchise, agency, or mandate relationship between the Representative and iEvolution. The Representative is responsible for their own tax, social security, and labor obligations under the laws applicable in their jurisdiction.
The Representative has no authority to enter into obligations on behalf of iEvolution, represent the Company before third parties, or act as its legal agent in any sense.
By participating in the program, the Representative fully grants the Company the use of their image, voice, video, and any other concessions over their personal image that may be captured and used in the joint marketing of the Company, for the commercial purpose that unites them, with the proviso that the Company protects, with appropriate use, their dignity and the integrity of their image and reputation.
Article 3One Account per Person
Each Representative may have only one active account in iEvolution's Distribution Network. Registering multiple accounts under different names, identities, or legal entities for the purpose of obtaining undue benefits in the Compensation Plan constitutes Prohibited Conduct and shall be cause for the immediate termination of all involved accounts.
General Ethical Conduct
The Independent Representative of iEvolution commits to conducting their activity in accordance with the highest standards of honesty, integrity, and respect toward End Customers, prospects, and other Representatives in the Network.
Article 4General Duty of Good Faith
Every Representative has the permanent duty to act in good faith in all their commercial and personal interactions related to their activity at iEvolution. This duty includes, by way of illustration and not limitation, the following obligations:
- Provide truthful, complete, and non-misleading information to End Customers and Representative prospects.
- Not make promises that cannot be kept or statements that cannot be verified.
- Not exploit the vulnerability, advanced age, illness, lack of commercial experience, or language unfamiliarity of any person.
- Respect the decisions of End Customers and prospects not to purchase or participate, without undue insistence.
- Not present iEvolution's business opportunity in a false, exaggerated, or misleading manner.
Legal Compliance
The Representative is exclusively responsible for knowing and complying with all laws, regulations, and provisions applicable in their jurisdiction of operation, including those relating to direct sales, multilevel marketing, consumer protection, advertising, personal data protection, and taxation. Failure to comply with applicable laws also constitutes a violation of this Code.
Article 6Liability for Third Parties
The Representative is liable for the actions of any person who assists them in the development of their business, including family members, employees, business partners, or third parties acting on their behalf or under their direction. Infractions committed by such persons shall be attributed to the Representative for purposes of the disciplinary provisions of this Code.
Income Representations
This section regulates with particular rigor statements about income, given that false or exaggerated representations of potential earnings constitute one of the most damaging practices in the direct selling and network marketing industry, and are the most frequent vector of legal, regulatory, and reputational conflicts.
Article 7Definition of Income Representation
"Income representation" shall mean any communication, oral, written, or visual, that expressly or implicitly conveys:
- A specific level or range of sales, gross income, or actual or potential earnings.
- The promise, suggestion, or implication that a particular lifestyle — including vehicles, travel, housing, luxuries, or financial freedom — is associated with the income obtainable in the program.
- Any graph, table, income calculator, or mathematical projection of possible earnings based on Compensation Plan variables.
- Any testimonial, screenshot of payments, bank transfers, or commission histories of any Representative, whether their own or a third party's.
- Any statement from which a reasonable prospect could infer that they will obtain a guaranteed minimum level of income.
Prohibited Conduct in Income Representations
The Representative is strictly prohibited from:
- Presenting or sharing screenshots of payments, transfers, account statements, or commission receipts of their own or third parties as a recruitment or sales argument.
- Publishing on social networks, messaging applications, or any digital medium content that associates iEvolution's program with guaranteed passive income, absolute financial freedom, or extraordinary economic results without verifiable backing.
- Using phrases such as "earn from day one," "unlimited income," "money works for you," "guaranteed passive income," or any equivalent expression that suggests effortless or guaranteed economic results.
- Mentioning the income of any other Representative, including those at higher levels of the network, without including, equally prominently, the mandatory disclaimer regarding variability of results.
- Presenting the Compensation Plan through hypothetical examples of maximum income without disclosing the program's actual average earnings.
Mandatory Disclaimer
Any communication that includes any reference to income — including testimonials, examples, or projections — must include in a visible, legible, and equally prominent manner the following disclaimer, or one approved by iEvolution of equivalent content:
The income of iEvolution's Independent Representatives varies significantly depending on the time dedicated, individual skills, effort, and other factors. There is no guarantee of minimum income. The results shown correspond to individual experiences and are not representative of the program's average results. The income indicated is gross, before deducting business expenses.
Real Sale Rule
This section has the fundamental purpose of distinguishing iEvolution from illegal pyramid schemes, ensuring that network compensation is based on real sales to genuine consumers and not on the mere circulation of money among program participants.
Article 10Foundation of Compensation
The compensation of every Representative — including their own commissions, network bonuses, and any incentive associated with the Compensation Plan — shall be based exclusively on what is contemplated in the updated Compensation Plan document, as detailed therein. The most recent version shall always be considered effective, with the Company reserving the authority to update and modify it as the learning and experience that supports it evolves.
Article 11Minimum Sales Requirement to End Customers
To be eligible to receive network commissions generated by their downline volume, the Representative must demonstrate that at least seventy percent (70%) of their Personal Volume for the corresponding period comes from documented sales to End Customers or legitimate self-consumption purchases, and not from purchases by Representatives in their own downline made for the sole purpose of qualifying for a bonus or rank.
For purposes of this Article:
- "Documented sale to End Customer" means any transaction in which the final purchaser is not an active participant in iEvolution's Representative program.
- The Representative's self-consumption is recognized as part of the 70% minimum quota, to the extent that it is reasonable in relation to the volume acquired and the characteristics of the product.
- iEvolution may request from the Representative evidence of sales to End Customers (receipts, customer records, shipping confirmations) as part of any audit or disciplinary process. Refusal to present this evidence shall be interpreted as non-compliance with this Article.
Prohibition of Inventory Loading
It is strictly prohibited for the Representative, their Sponsor, and any participant in the network to:
- Induce, pressure, or incentivize another Representative or prospect to acquire inventory in quantities that reasonably exceed what they can sell or consume within a reasonable time, regardless of the economic incentive offered.
- Condition access to a bonus, rank, or benefit of the Compensation Plan on the purchase of an inventory volume that does not respond to real market demand.
- Offer personal economic incentives to other Representatives so that they make extraordinary purchases at the close of a qualification period, when such purchases do not respond to real sales or verifiable consumption.
iEvolution will apply periodic monitoring mechanisms to detect inventory loading patterns. Upon detection of such patterns, the Company may apply the sanctions provided in Section VIII of this Code, including the reversal of commissions improperly obtained.
Article 13Inventory Buyback Policy
Any Representative who decides to terminate their participation in iEvolution's program shall have the right to request the buyback of their unsold, currently marketable inventory, acquired in a month prior to the termination date, at a value of no less than sixty percent (60%) of the original net cost paid, less the credits, bonuses, or commissions already received on said inventory.
Inventory that has expired, been opened, damaged, or been declared by iEvolution as a seasonal product, discontinued, or special promotion prior to its purchase shall not be considered "currently marketable."
Coexistence between Representatives
iEvolution recognizes that the quality of the environment within the Distribution Network is a collective good that benefits all its participants. Therefore, it establishes a set of professional coexistence rules whose compliance is mandatory for all Representatives, regardless of their rank or seniority in the network.
Article 14Principle of Fair Competition
Competition between Representatives must be based exclusively on excellence of service, product knowledge, the quality of the relationship with the End Customer, and genuine leadership toward their network. All practices of unfair competition are prohibited, including, by way of illustration and not limitation, the conduct described in the following articles.
Article 15Prohibition of Unfair Solicitation
The Representative is prohibited from carrying out deliberate and systematic actions aimed at recruiting End Customers or prospects of Representatives who have been previously contacted by another Representative in the framework of their business activities. In particular:
- Prospects or End Customers of another Representative may not be approached at events, meetings, or presentations organized by that Representative for the purpose of redirecting them toward another distribution line.
- At meetings or business presentation events, if an attendee arrived at the invitation of a specific Representative, all other Representatives present must respect that relationship and avoid acting so that said attendee registers under another sponsorship line.
- Unsolicited communications (direct messages, emails, calls) may not be sent to End Customers or active Representatives of another line for the purpose of inducing them to change networks or sponsors.
Prohibition of Defamation and Discrediting
No Representative may, by any means or channel — including social networks, messaging groups, in-person presentations, or any public or private communication:
- Make false, derogatory, or misleading statements about another iEvolution Representative, their reputation, their business, their results, or their personal conduct.
- Spread rumors, unverified information, or speculation that may damage the image or commercial activity of another Representative, as well as engage in threats or intimidation for the same purposes.
- Use disparaging comparisons between their performance and that of other Representatives as a recruitment argument.
- Publish or share content intended to discredit other Representatives in the network, whether of the same line or different lines.
When conflicts arise between Representatives, the expected conduct is direct, respectful, and solution-oriented communication. If not resolved that way, the Representative may resort to the complaint process established in Section VIII. In no case does the conflict between Representatives justify the use of public channels for its airing.
Article 17Prohibition of Discrediting iEvolution or its Products
The Representative who has discrepancies with any policy, decision, or product of iEvolution must communicate them through the established internal channels. It is prohibited to make negative, unfounded, or exaggerated public statements about the products, business model, or integrity of the Company in any public forum, social network, or media outlet, as well as its personnel, partners, associates, or family members.
Article 18Prohibition of Raiding or Line Diversion
"Raiding" shall mean the practice of an iEvolution Representative — or a person who recently acted as a Representative — who, actively and systematically, contacts members of another distribution line to induce them to abandon their current network and rejoin under their sponsorship line. This practice is expressly prohibited and shall be considered a serious and non-reparable infraction.
Any Representative who wishes to change Sponsor must do so in accordance with a formal procedure established by iEvolution, and not through raiding practices or undue inducement.
Article 19Professional Conduct in All Media
The Representative must always maintain dignified, respectful, and professional treatment with End Customers, prospects, other Representatives in the network, and iEvolution personnel. Conduct involving harassment, discrimination, intimidation, or any form of degrading treatment — regardless of the medium used — constitutes a serious infraction and may give rise to immediate termination of membership without any provision for claim.
Materials and Social Media
Article 20Use of Official Materials
The Representative must use exclusively the Official Materials approved by iEvolution for the promotion of products and the presentation of the business plan. It is prohibited to create, distribute, or publish own materials that:
- Contain claims about products that are not scientifically supported or authorized by iEvolution.
- Include income representations without the mandatory disclaimer established in Article 9.
- Use iEvolution's brands, logos, images, or visual identity in an unauthorized or altered manner.
- Share confidential information from the Compensation Plan, internal network structures, or data of other Representatives without express authorization.
Social Networks and Digital Channels
The Representative may use social networks and digital channels to promote their business, provided they do so in accordance with iEvolution's Social Media Policies, published as a complementary document. In general:
- Any profile or account that promotes iEvolution products or business must clearly identify itself as the account of an Independent Representative, and not as an official iEvolution account.
- Direct sales of iEvolution products may not be carried out through auction platforms, unauthorized marketplaces, or third-party sites without express approval from the Company.
- The Representative is responsible for the content published on their digital channels related to iEvolution, including comments from third parties that they do not moderate in a timely manner.
Complaints, Sanctions, and Termination
Article 22Filing of Complaints
Any Representative, End Customer, or third party who has knowledge of a possible infraction of this Code may file a formal complaint with iEvolution through the official channels enabled for this purpose. iEvolution commits to responding to every good-faith complaint within a period not greater than thirty (30) business days from its receipt.
The identity of the complainant shall be treated with confidentiality to the extent that the circumstances permit. The subject matter of the complaint shall not be confidential for the purposes of the investigation.
Article 23Investigation Process
iEvolution will initiate a preliminary investigation upon any complaint received or upon any indication of non-compliance detected ex officio. During the investigation, the investigated Representative shall have the right to be notified and to present their version of the facts and the evidence they deem pertinent within the period that iEvolution grants them for this purpose.
Article 24Applicable Sanctions
Depending on the severity, recurrence, and circumstances of the infraction, iEvolution may apply, individually or cumulatively, the following measures:
- Written warning with requirement of immediate cessation of the offending conduct.
- Temporary suspension of the Representative's account and withholding of pending commissions during the investigation period.
- Reversal of commissions or bonuses obtained as a direct result of the offending conduct.
- Refund requirement to the affected End Customer or prospect.
- Definitive suspension of the rank achieved, with descent of level in the Compensation Plan.
- Definitive and irrevocable termination of membership as an Independent Representative of iEvolution.
Especially serious infractions — including fraud, document forgery, manipulation of the Compensation Plan, systematic raiding, or conduct constituting a crime — shall be cause for immediate termination without need for prior warning process. This does not preclude the ability of both victims and the Company to take other actions through legal channels against the offender.
iEvolution reserves the authority to investigate, consider, and decide, in accordance with morality and good customs, other conduct it finds problematic, qualifying such conduct as contrary to its ethics and fully sanctioning it. Repeated infraction of this agreement shall be considered tacit waiver by the Representative of pending bonuses and commissions.
Article 25Appeal
The sanctioned Representative may file an appeal with iEvolution within twenty (20) calendar days following notification of the sanction, providing additional arguments and evidence. The resolution of the appeal shall correspond to a level of the organization different from the one that applied the original sanction, and shall be final.
Article 26Voluntary Termination
The Representative may terminate their participation in the program at any time, without statement of cause, by written notice to iEvolution through the official channels. Termination does not exempt the Representative from compliance with the obligations generated during their active membership, nor from the provisions of this Code that by their nature must survive termination, including those relating to confidentiality, non-defamation, and inventory buyback policy. Likewise, account inactivity on the platform provided by the Company for six (6) months or more constitutes a waiver and the subsequent termination of the account.
General Provisions
Article 27Modifications to the Code
iEvolution reserves the right to modify this Code at any time. Modifications shall enter into force thirty (30) calendar days after their publication on iEvolution's official platform. The continuation of the Representative's activity after said period shall constitute acceptance of the modifications. If the Representative does not agree with any modification, they must notify their withdrawal in accordance with the procedure of Article 26 before the expiration of the effective period.
Article 28Independence of Provisions
If any provision of this Code is declared invalid, inapplicable, or void by a competent authority, the remaining provisions shall maintain full force and effect. The invalid provision shall be considered replaced by the applicable legal norm closest to its original intent.
Article 29Applicable Law and Conflict Resolution
This Code is governed by the general principles of commercial law and the international standards of the direct selling industry. Without prejudice to the Representative's right to resort to the legal authorities of their jurisdiction, the parties commit to first seek the amicable resolution of any difference through the complaint and appeal mechanisms established in this Code.
For matters that cannot be resolved internally, and to the extent that the law applicable in the Representative's jurisdiction permits it, the parties may submit their differences to a mediation or arbitration process in accordance with the rules that iEvolution establishes in its Conflict Resolution Policies, published as a complementary document.
Acceptance Clause
By clicking "I accept the terms and conditions" during the registration process, or by continuing to operate as an independent Networker of iEvolution after having been notified of an update to this Code, the Networker declares that:
- They have read, understood, and accepted in its entirety this Code of Conduct for Independent Representatives of iEvolution.
- They acknowledge that this Code is an integral part of their contract with iEvolution and is binding in nature.
- They understand that their activity as an Independent Representative does not create any employment, partnership, or agency relationship with iEvolution.
- They commit to knowing and complying with all laws applicable in their jurisdiction of operation.
- They authorize iEvolution to enforce the provisions of this Code in accordance with the procedures established herein.
