The conduct standards that apply to every iEvolution Member.

This Code of Conduct is a binding part of the iEvolution Membership Agreement. Electronic acceptance has full legal effect.

iEvolution Pro LLC ("iEvolution" or "the Company") distributes nutritional supplements to customers in the United States and Mexico, and offers a Wholesale Membership under which Members buy at wholesale pricing, resell at prices they set themselves, and earn affiliate commissions on sales made through their own links.

This Code sets out how a Member must conduct that activity. Its purpose is to protect customers from misleading claims, to protect Members from each other, and to protect the Company from conduct that would expose it to regulatory or legal risk.

The Membership program is a single-level affiliate program. There is no downline, no rank, and no organizational structure. Nothing in this Code should be read to imply otherwise.

Definitions

Terms used in this Code have the meaning given in the Membership Agreement. The most important are repeated here.

Member A person holding an active iEvolution Wholesale Membership. This term replaces "Independent Brand Partner," "IBP," "Affiliate," "Independent Representative," "Brand Representative," and "Networker."
Customer Any person who buys iEvolution products at retail. A Customer is not a Member.
Sponsor The Member through whose referral link another Member enrolled.
The Company iEvolution Pro LLC, organized under the laws of the State of Wyoming, United States of America.
Official Materials Any presentation, graphic, video, or text authorized and published by iEvolution for Members to use.
Prohibited Conduct Any act or omission that breaches this Code, the Membership Agreement, or any iEvolution policy in force.

Eligibility & the Membership

Article 1

Eligibility

To hold a Membership you must be at least 18 years of age, have legal capacity to contract in your jurisdiction, provide truthful and verifiable information at enrollment, have read and accepted this Code in full, and not hold another active or suspended iEvolution account under a different identity.

Article 2

Nature of the Relationship

A Member is an independent business operator. This Code creates no employment, partnership, franchise, agency, or mandate relationship between the Member and iEvolution. The Member is responsible for their own tax, social security, and labor obligations under the law that applies to them.

A Member has no authority to bind iEvolution, to represent it before third parties, or to act as its agent in any way.

Article 3

One Account per Person

Each person may hold only one active Membership. Enrolling multiple accounts under different names, identities, or legal entities to obtain a benefit not otherwise available is Prohibited Conduct and is grounds for immediate termination of every account involved.

General Conduct

Every Member must conduct their activity honestly, with integrity, and with respect toward Customers, prospects, and other Members.

Article 4

Duty of Good Faith

Every Member has a continuing duty to act in good faith in every commercial interaction connected to their iEvolution activity. This includes, by way of illustration and not limitation:

  • Giving truthful, complete, and non-misleading information to Customers and to prospective Members.
  • Making no promise that cannot be kept and no statement that cannot be substantiated.
  • Not exploiting the vulnerability, advanced age, illness, inexperience, or language unfamiliarity of any person.
  • Respecting a decision not to buy or not to join, without undue insistence.
  • Not pressuring any person to order more product than they can reasonably use or sell. Member orders are final and cannot be refunded, and a Member who encourages another person to over-order is causing them a loss they cannot undo.
  • Disclosing, before any sale to a Customer, that Member orders and retail orders carry different return rights.
Article 5

Legal Compliance

A Member is solely responsible for knowing and complying with the laws that apply where they operate, including those governing direct selling, consumer protection, advertising, endorsements and testimonials, personal data protection, and taxation. Failure to comply with applicable law is also a breach of this Code.

Article 6

Responsibility for Others

A Member is responsible for the conduct of anyone who assists them in their business, including family members, employees, contractors, and any third party acting on their behalf or at their direction. Breaches committed by such persons are attributed to the Member for the purposes of Section VIII.

Income Representations

This Section is enforced with particular rigor. False or exaggerated statements about potential earnings are the single most damaging practice in this industry and the most frequent source of legal, regulatory, and reputational harm.

Article 7

What Counts as an Income Representation

An "income representation" is any communication, spoken, written, or visual, that expressly or by implication conveys:

  • A specific level or range of sales, gross income, margin, or actual or potential earnings.
  • That a particular lifestyle, including vehicles, travel, housing, luxury goods, or financial freedom, is associated with income obtainable through the Membership.
  • Any chart, table, calculator, or mathematical projection of possible earnings.
  • Any testimonial, screenshot of a payment, bank transfer, e-wallet balance, or commission history, whether the Member's own or another person's.
  • Anything from which a reasonable person could infer a guaranteed minimum level of income.
Article 8

Prohibited Income Claims

A Member is strictly prohibited from:

  • Posting or sharing screenshots of payments, transfers, account statements, e-wallet balances, or commission records, whether their own or another person's, as a sales or recruitment argument.
  • Publishing content that associates the Membership with guaranteed passive income, financial freedom, or extraordinary financial results without substantiation.
  • Using phrases such as "earn from day one," "unlimited income," "your money works for you," "guaranteed passive income," or any equivalent expression suggesting effortless or guaranteed financial results.
  • Referring to any other Member's income without including, with equal prominence, the disclaimer required by Article 9.
  • Presenting maximum or best-case earnings examples without disclosing that results vary and are not typical.
  • Describing the Membership as an investment, a business opportunity with assured returns, or a substitute for employment income.
Article 9

Mandatory Disclaimer

Any communication containing any reference to income, including testimonials, examples, calculators, and projections, must carry the following disclaimer, or one approved in writing by iEvolution, displayed with equal prominence and legibility:

iEvolution Member earnings vary significantly depending on time invested, individual skill, effort, and other factors. There is no guarantee of any level of income. Results shown are individual experiences and are not representative of typical results. Figures shown are gross, before shipping, taxes, payment processing fees, and business expenses.

Article 10

Basis of Compensation

All Member compensation is governed by the Membership Agreement and by nothing else. A Member may not describe, present, or promise any compensation, bonus, incentive, or benefit that is not set out in the current Membership Agreement. iEvolution may update that Agreement in accordance with its terms, and the most recent published version always controls.

Product Claims & Health Statements

Article 11

Permitted Claims

A Member may make no representation about any iEvolution product beyond what appears on the product label, in Official Materials, or on the iEvolution website. Any other claim, however sincerely believed, is Prohibited Conduct.

Article 12

Disease Claims Are Prohibited

No Member may claim, state, or imply that any iEvolution product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition. Statements of that kind may be treated as unlawful drug claims. They breach this Code and may also violate federal and state law in the United States and health regulations in Mexico.

Every communication about a product must carry, or be accompanied by, the statement that these products have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.

Article 13

Testimonials and Results

A Member sharing a product testimonial must present it as an individual experience and must not present it as a typical or expected result. A Member must not fabricate, edit, or misattribute a testimonial, and must not offer any compensation in exchange for a review without disclosing that arrangement.

Article 14

Disclosure of Your Commercial Interest

Where a Member recommends a product and stands to earn from the sale, that interest must be disclosed clearly and conspicuously in the same communication. On social media this means a visible disclosure in the post itself, not buried in a comment, a bio, or a hashtag block.

Conduct Toward Customers & Other Members

Article 15

Fair Competition

Members compete on service, product knowledge, and the quality of their customer relationships. Because the program is single-level and no Member's income depends on another Member's organization, there is no legitimate reason for a Member to interfere with another Member's business. All unfair competitive practices are prohibited.

Article 16

No Defamation or Disparagement

No Member may, through any channel, including social media, messaging groups, in-person presentations, or private communication:

  • Make false, derogatory, or misleading statements about another Member, their reputation, their business, or their results.
  • Spread rumors or unverified information likely to damage another Member's reputation or business, or engage in threats or intimidation.
  • Use disparaging comparisons with another Member's performance as a sales or recruitment argument.

Where a conflict arises between Members, the expected conduct is direct, respectful communication aimed at resolution. If that fails, the complaint process in Section VIII is available. A conflict between Members never justifies airing it in public channels.

Article 17

No Disparagement of iEvolution

A Member who disagrees with an iEvolution policy, decision, or product must raise it through the internal channels provided. Making unfounded or exaggerated public statements about iEvolution's products, business model, integrity, personnel, or partners is Prohibited Conduct.

This Article does not prevent a Member from making a truthful statement, from filing a complaint with any regulator, from participating in any legal proceeding, or from exercising any right that cannot lawfully be restricted.

Article 18

Professional Conduct in All Media

A Member must at all times treat Customers, prospects, other Members, and iEvolution personnel with dignity and respect. Harassment, discrimination, intimidation, or degrading treatment of any kind, through any medium, is a serious breach and may result in immediate termination.

Materials, Brand & Social Media

Article 19

Use of Official Materials

A Member should use Official Materials to promote products and the Membership. A Member may not create or distribute materials that:

  • Contain product claims not permitted under Section V.
  • Contain income representations without the disclaimer required by Article 9.
  • Use iEvolution brands, logos, imagery, or visual identity in an unauthorized or altered form.
  • Disclose wholesale price lists, internal systems, or another Member's data without written authorization.
Article 20

Social Media and Digital Channels

A Member may promote their business on social media and digital channels, subject to the following:

  • Any profile or account promoting iEvolution must clearly identify itself as belonging to an independent Member, and never as an official iEvolution account.
  • A Member may not register or operate any domain, website, social media account, handle, display name, page, group, channel, business name, or advertising account whose name contains "iEvolution," "iEvo," or any iEvolution product name, or any confusingly similar variation, translation, or misspelling. Describing yourself as an "Independent iEvolution Member" is permitted; naming your account or site after the brand is not. Section 14 of the Membership Agreement governs this in full, including disclosure of existing registrations and transfer on demand.
  • Products may not be sold through auction sites, online marketplaces, or third-party storefronts, as set out in Section 8.2 of the Membership Agreement.
  • A Member is responsible for content published on their channels in connection with iEvolution, including third-party comments they fail to moderate within a reasonable time.
  • Paid advertising using iEvolution trademarks, brand names, or product names, including search and social advertising, requires prior written authorization.

Complaints, Sanctions & Termination

Article 21

Filing a Complaint

Any Member, Customer, or third party who becomes aware of a possible breach of this Code may file a complaint with iEvolution through the official channels. iEvolution will respond to every good-faith complaint within thirty (30) business days of receipt.

The complainant's identity is treated confidentially so far as circumstances allow. The subject matter of the complaint is not confidential for the purposes of the investigation.

Article 22

Investigation

iEvolution will open a preliminary investigation on any complaint received or on any indication of a breach it detects itself. The Member under investigation has the right to be notified and to present their account of the facts and any evidence, within the period iEvolution allows for that purpose.

Article 23

Sanctions

Depending on the seriousness, recurrence, and circumstances of the breach, iEvolution may apply one or more of the following:

  • A written warning requiring immediate cessation of the conduct.
  • Temporary suspension of the account and withholding of pending commissions during the investigation.
  • Reversal of commissions earned as a direct result of the conduct.
  • A requirement to refund an affected Customer.
  • Termination of the Membership.

Fraud, forgery, manipulation of the commission system, resale on prohibited platforms, product or income claims that expose iEvolution to regulatory action, and conduct constituting a crime are grounds for immediate termination without a prior warning process. Termination does not prevent iEvolution or any affected person from pursuing other legal remedies.

Article 24

Appeal

A sanctioned Member may appeal in writing within twenty (20) calendar days of notice of the sanction, providing additional argument and evidence. The appeal is decided by a person other than the one who imposed the original sanction, and that decision is final.

Article 25

Voluntary Termination

A Member may end their participation at any time, without stating a reason, under Section 4.3 of the Membership Agreement. Ending participation does not release a Member from obligations incurred while active, nor from the provisions of this Code that by their nature survive, including those concerning confidentiality, non-disparagement, and product and income claims.

General Provisions

Article 26

Modifications

iEvolution may modify this Code. Modifications take effect thirty (30) calendar days after publication on iEvolution's official platform. Continuing as a Member after that period constitutes acceptance. A Member who does not accept a modification must cancel before it takes effect.

Article 27

Severability

If any provision of this Code is held invalid or unenforceable, the remaining provisions stay in full force. The invalid provision is treated as replaced by the closest lawful provision to its original intent.

Article 28

Governing Law and Disputes

This Code forms part of the Membership Agreement and is governed by the law and dispute resolution provisions of that Agreement, currently the laws of the State of Wyoming with arbitration seated in Wyoming. Nothing in this Code deprives a Member of any mandatory protection of the consumer law of their country or state of residence.

Acceptance

By accepting the terms during enrollment, or by continuing as a Member after being notified of an update to this Code, the Member declares that:

  • They have read, understood, and accepted this Code in its entirety.
  • They acknowledge that this Code forms part of the Membership Agreement and is binding.
  • They understand that their Membership creates no employment, partnership, or agency relationship with iEvolution.
  • They will comply with the laws applicable where they operate.
  • They authorize iEvolution to enforce this Code through the procedures set out in Section VIII.
