This Membership Agreement ("Agreement") is a binding agreement between you ("you," "your," or "Member") and iEvolution Pro LLC ("iEvolution," "iEvo," "we," "our," or "us"), a limited liability company organized under the laws of the State of Wyoming, United States of America.
By purchasing an iEvolution Wholesale Membership, you agree to be bound by this Agreement, by the iEvolution Member Code of Conduct, by the iEvolution Terms & Conditions, by the iEvolution Refund & Return Policy, and by the iEvolution Privacy Policy, each of which is incorporated into this Agreement by reference and made part of it as if restated in full.
Please read Section 07 (Member Orders Are Final) and Section 11 (Commission Release, Reversal, and Negative Balance) with particular care. Those two sections set out the most important limits on your rights under this Agreement. If you do not agree to these terms, do not purchase a Membership.
Definitions
The following terms have the meanings given below wherever they appear in this Agreement or in any document incorporated into it.
Eligibility & Age
To purchase a Membership you must be at least eighteen (18) years of age, legally capable of entering into a binding contract in your jurisdiction of residence, and resident in a territory iEvolution serves. iEvolution currently sells and ships within the United States and Mexico.
You must provide truthful, complete, and current information at enrollment and keep it updated. Each person may hold only one active Membership. Enrolling more than one Membership under different names, identities, or legal entities in order to obtain a benefit not otherwise available is a material breach of this Agreement and is grounds for termination of every Membership involved.
iEvolution reserves the right to decline any enrollment, for any reason, within thirty (30) days of receipt.
Enrollment & Sponsor
Memberships are activated through the referral link of an existing Member. When you enroll, that Member is recorded as your Sponsor. Your Sponsor relationship determines who receives the Membership Commission and Referral Commission described in Section 10, and who bears a chargeback on your Member Orders under Section 11.5.
Being referred by a Sponsor does not create any obligation on your part to refer anyone else. Referring other people is entirely optional and no part of your wholesale pricing, your Affiliate Link, or your Affiliate Commission depends on it.
Your Sponsor is assigned once, at enrollment, and does not change. Requests to change a Sponsor are granted only at iEvolution's discretion and only through the procedure published in the virtual office.
What the Membership Includes
An active Membership entitles you to the following, for as long as it remains current:
The Membership is an access tier. It does not include any product. No product is shipped on activation. Products are ordered separately under Section 07 at your wholesale price.
Term, Renewal & Cancellation
4.1 Term
The Membership runs for twelve (12) months from the date of activation.
4.2 Automatic Renewal
Unless you cancel first, the Membership renews automatically for successive twelve-month terms and the Membership Fee then in effect is charged to the payment method on file on the renewal date. iEvolution will send you an email reminder at least thirty (30) days before each renewal, stating the renewal date and the amount that will be charged.
4.3 How to Cancel
You may cancel your Membership at any time, for any reason, from the account settings in the my iEvolution virtual office, or by contacting customer support at support@ievolutionpro.com. Cancellation takes effect at the end of the then-current term. Cancelling stops future renewals; it does not shorten the term you have already paid for and does not entitle you to a refund of any portion of it, except as provided in Section 05.
4.4 Cancellation by iEvolution
iEvolution may decline to renew any Membership on notice at or before the renewal date, and may suspend or terminate a Membership for breach under Section 16.
Membership Fee
The Membership Fee is $99.99 USD per year. It is charged in full at activation and at each renewal. The Membership Fee is not prorated and is not credited toward the price of any product.
5.1 The Membership Fee Is Non-Refundable
The Membership Fee is non-refundable. It is not refunded on cancellation, on termination, if you never place an order, or for any other reason, and it is not prorated for any unused part of a term.
Cancelling your Membership under Section 4.3 stops future renewals. It does not shorten the term you have already paid for and does not refund any part of it.
This Section does not limit any refund that applicable law requires iEvolution to provide and that cannot lawfully be waived.
5.2 Price Changes
iEvolution may change the Membership Fee for future terms. Any change is disclosed in the renewal reminder described in Section 4.2 and applies only from the next renewal date.
Independent Contractor Status
Your Membership does not make you an employee, agent, partner, joint venturer, franchisee, or legal representative of iEvolution or of your Sponsor. You are a self-employed independent contractor operating your own business. You decide how many hours to devote to it and when.
You have no authority to incur any obligation on behalf of iEvolution, to represent iEvolution before any third party, or to act as its agent for any purpose. You may not open a bank account, sign a lease, register a business name, or enter into any contract in iEvolution's name.
You are solely responsible for your own tax, social security, licensing, and regulatory obligations in your jurisdiction.
Member Orders Are Final
7.1 Pricing and Minimum Quantity
Member Orders are priced at the wholesale prices published in the my iEvolution virtual office. The minimum order quantity is three (3) units per product. You may combine as many different products in one order as you like. There is no monthly volume requirement, no minimum reorder, no starter pack, and no purchase requirement of any kind to keep your Membership, your wholesale pricing, your Affiliate Link, or your Commissions.
7.2 Shipping
You pay shipping on your own Member Orders. Delivery within the United States and Mexico is typically three (3) to seven (7) business days after dispatch. Delivery estimates are estimates, not guarantees. Risk of loss passes on delivery to the carrier.
7.3 Final Sale
Member Orders are final. Except as provided in Section 7.4, a Member Order may not be returned, refunded, exchanged, or credited for any reason. This includes change of mind, over-ordering, inability to resell, dissatisfaction with a product, cancellation of your Membership, and termination of this Agreement.
You should order only the quantity you can reasonably use or sell. iEvolution does not operate an inventory buyback program and does not repurchase unsold product.
7.4 Defective, Damaged, or Incorrect Items
If a product in a Member Order arrives defective, is damaged in transit, or is not the product you ordered, contact customer support within fourteen (14) calendar days of delivery. iEvolution may request photographic evidence before authorizing a remedy. Where the claim is verified:
A refund under Section 7.4(b) is the only circumstance in which any part of a Member Order is refunded. No store credit is issued on Member Orders. Nothing in this Section limits any remedy that applicable law requires iEvolution to provide and that cannot lawfully be waived.
7.5 Customers Are Different
Sections 7.3 and 7.4 apply to Member Orders only. Customers buying at retail keep the full return and refund rights set out in the iEvolution Refund & Return Policy, currently fourteen (14) calendar days from delivery, subject to that policy's conditions and restocking fee.
Resale Rights & Restrictions
8.1 Your Right to Resell
You may use the products you buy for personal or family use, or resell them. The price is the same either way. You set your own resale price. iEvolution publishes a suggested retail price but does not impose a minimum resale price, and the difference between your cost and the price you actually charge is yours.
8.2 Third-Party Marketplaces Are Prohibited
You may not sell, resell, list, advertise, or distribute iEvolution products on or through any third-party store, online marketplace, or auction platform. This includes but is not limited to Amazon, eBay, Mercado Libre, Walmart Marketplace, Facebook Marketplace, Etsy, TikTok Shop, and any comparable website or application.
If iEvolution determines that you are purchasing products in order to resell them on any such platform, your Membership will be terminated.
Selling in person, through your own website or social media, and through your Affiliate Link is permitted and encouraged.
8.3 Other Restrictions
8.4 Your Own Customers
When you resell a product yourself, the sale is between you and your buyer. You set the terms of that sale, including whether you offer a return, and you are responsible for honoring whatever you offer. iEvolution's Refund & Return Policy governs purchases made from iEvolution; it does not govern a resale you make on your own account.
Affiliate Links & Commissions
9.1 Affiliate Commission
When a Customer purchases through your Affiliate Link, you earn an Affiliate Commission of forty percent (40%) of the Product Subtotal of that purchase. iEvolution picks, packs, and ships the order directly to the Customer. You hold no inventory and handle no fulfillment on Affiliate Sales.
9.2 Calculation
The Affiliate Commission is calculated on Product Subtotal only, as defined in Section 00. Shipping and handling, taxes and duties, payment processing fees, and any discount, coupon, or credit applied to the order are excluded from the calculation.
9.3 Attribution
An Affiliate Sale is attributed to the Affiliate Link through which the Customer arrived, according to iEvolution's tracking records. Where a Customer arrives through more than one link, iEvolution's records determine attribution and that determination is final.
9.4 Self-Referred Purchases
You do not earn an Affiliate Commission on a purchase you make yourself, and iEvolution may reverse any Commission on an order where the purchaser, the payment instrument, or the delivery address is your own or is otherwise associated with you. Buy your own product through your Member Order at wholesale pricing, which is the better price in any event.
Membership Commission & Referral Commission
Referring other people is optional. Nothing in your wholesale pricing or your Affiliate Commission depends on it, and you may operate your Membership indefinitely without referring anyone.
10.1 Membership Commission
iEvolution sells the Wholesale Membership as a product in its own right. When a person purchases a Membership through your referral link, you earn a one-time affiliate commission of thirty dollars ($30.00 USD) on that sale, payable once the Membership Fee has been collected.
This is a sales commission on the sale of a Membership, in the same way the Affiliate Commission under Section 09 is a sales commission on the sale of a product. It is earned once per Membership sold and is not repeated on that Membership's renewals.
10.2 Referral Commission
You earn ten percent (10%) of the Product Subtotal of Member Orders placed by Members you personally referred, for as long as your own Membership remains current.
10.3 One Level Only
You earn on your own sales and on the people you personally refer. You never earn anything on anyone they refer. There is no second level, no downline, no rank, no qualification volume, and no organizational structure of any kind under this Agreement.
10.4 If Your Membership Lapses
The Membership Commission and the Referral Commission are payable only while your own Membership is current. If your Membership lapses, expires, or is terminated, both stop immediately. They do not accrue during a lapse and are not paid retroactively if you later reinstate.
10.5 Every Commission Is Paid on a Completed Sale
Every Commission under this Agreement is paid on an actual, completed, and paid transaction, and on nothing else:
No Commission is paid for enrolling, registering, or signing up a person where no purchase is completed and paid for. No Commission is calculated by reference to the number of people in any structure, at any level. Every Commission is reversed if the sale it was paid on is reversed, as set out in Section 11.
Commission Release, Reversal & Negative Balance
11.1 Release
Commissions are credited to your E-Wallet three (3) days after the underlying purchase and are available for withdrawal from that time.
11.2 Release Is Provisional
Crediting a Commission to your E-Wallet does not make it final. A Customer's right to return a product runs for fourteen (14) calendar days from delivery, and delivery typically occurs three to seven business days after purchase. A payment card dispute may be raised months after a purchase. Commissions are therefore released to you before the period in which a transaction can be reversed has ended, and they remain subject to reversal under Sections 11.3 to 11.5 after you have withdrawn them.
11.3 Refund of a Sale on Which a Commission Was Paid
If a Customer returns a product and receives a refund on an Affiliate Sale, the Affiliate Commission paid on that sale is reversed in full and debited from the E-Wallet of the Member whose Affiliate Link generated the sale.
If a Membership Fee is refunded for any reason, including where a refund is required by applicable law or is issued by iEvolution at its discretion, the Membership Commission paid on that sale is reversed in full and debited from the E-Wallet of the Member whose referral link generated the sale.
11.4 Chargeback on an Affiliate Sale
If a Customer initiates a chargeback, payment dispute, or payment reversal on an Affiliate Sale, one hundred percent (100%) of the disputed transaction amount is debited from the E-Wallet of the Member whose Affiliate Link generated the sale.
11.5 Chargeback on a Member Order
If a Member initiates a chargeback, payment dispute, or payment reversal on that Member's own Membership Fee or Member Order, one hundred percent (100%) of the disputed transaction amount is debited from the E-Wallet of that Member's Sponsor.
No portion of that amount is charged to any other Member. It is not passed beyond the Sponsor, and it does not travel to the Sponsor's own Sponsor or to anyone else. Where the Member has no Sponsor, iEvolution bears the amount.
11.6 No Time Limit on Chargeback Reversals
Sections 11.4 and 11.5 apply whenever a chargeback or payment reversal occurs, however long after the original transaction. Section 11.3 applies within the Customer's return window under the Refund & Return Policy.
11.7 Negative Balance
Where your E-Wallet balance is insufficient to absorb a reversal, your E-Wallet carries a negative balance. A negative balance:
11.8 Records
Your E-Wallet in the virtual office shows every credit and every reversal with its date and reason. iEvolution's records of Commissions, reversals, and balances are determinative absent manifest error.
E-Wallet & Withdrawals
Commissions accumulate in your E-Wallet in the my iEvolution virtual office. You may withdraw an available positive balance at any time. There is no minimum withdrawal amount, no cut-off date, and no requirement to wait for the end of a month or any other period.
Withdrawals are paid to the payment details you provide and verify in the virtual office. You are responsible for the accuracy of those details. iEvolution may withhold a withdrawal pending verification of identity, of tax information, or of a suspected breach under Section 16, and will tell you when it does so.
iEvolution may deduct from your E-Wallet any amount you owe under this Agreement, including reversals under Section 11.
Income Claims & Product Claims
13.1 Product Claims
You may make no representation or claim about any iEvolution product beyond what appears on the product label, in official iEvolution literature, or on the iEvolution website. You may not claim, state, or imply that any iEvolution product diagnoses, treats, cures, mitigates, or prevents any disease. Statements of that kind violate this Agreement and may violate federal and state law.
13.2 Income Claims
Any communication in which you refer to income, earnings, margins, commissions, or the financial results of participating in the Membership program is subject to Section IV of the iEvolution Member Code of Conduct, which is incorporated here in full. In particular you may not share screenshots of payments or commission statements as a sales or recruitment argument, and any reference to income must carry the mandatory disclaimer set out in that Code.
13.3 No Guarantee
iEvolution does not guarantee any level of income. What you earn depends on what you actually sell and the price at which you sell it. Referring other people is optional and is not necessary to earn under this Agreement.
Brand, Trademarks & Company Materials
14.1 The Brand Is Not Yours
The names iEvolution, iEvo, iEvolution Pro, iEvolution Club, every iEvolution product name, and every iEvolution logo, design, and brand asset are the exclusive property of iEvolution Pro LLC. Your Membership gives you permission to promote the brand. It never gives you the brand.
You may not adopt, register, reserve, claim, or hold out any of them as your own, in whole or in part, in any medium, in any language, and in any spelling that is the same as or confusingly similar to them.
14.2 Limited License
iEvolution grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the iEvolution name, logos, product images, and published marketing materials for the sole purpose of promoting and selling iEvolution products during the term of your Membership. No ownership, goodwill, or other right passes to you. All goodwill arising from your use of the brand belongs to iEvolution. The license ends automatically when your Membership ends.
14.3 What You May Not Register or Create
Without iEvolution's prior written consent, you may not register, purchase, create, operate, or hold anything in the following list where its name, handle, address, or identifier contains "iEvolution," "iEvo," any iEvolution product name, or any variation, abbreviation, translation, transliteration, misspelling, or confusingly similar term:
14.4 What You May Do
You may describe yourself truthfully as an Independent iEvolution Member, and you may use iEvolution product names to describe the products you actually sell. That is the intended and permitted use.
The distinction is between describing your relationship and appropriating the brand. "María López — Independent iEvolution Member" is permitted. "iEvolution México," "@ievolutionoficial," or "ievolutionstore.com" is not, because each presents you as the company.
Every account, page, and communication of yours that promotes iEvolution must clearly identify itself as belonging to an independent Member and must never present itself as an official iEvolution channel.
14.5 Existing Registrations and Transfer on Demand
If you already hold anything described in Section 14.3, you must disclose it to iEvolution within thirty (30) days of accepting this Agreement. On written request, and at iEvolution's election, you will promptly transfer it to iEvolution, or delete or cancel it, at your own cost. You appoint iEvolution as your agent for the limited purpose of effecting a transfer where you fail to do so after written notice, and you will sign any document reasonably required to complete it.
14.6 On Termination
When your Membership ends you must, within ten (10) days, stop describing yourself as a Member, remove iEvolution names, logos, and brand assets from every account, page, profile, listing, and advertisement you control, and stop all paid advertising referencing the brand. Anything covered by Section 14.5 must be transferred or deleted in the same period.
14.7 Enforcement
Misuse of the brand causes harm that money cannot adequately repair. iEvolution may seek injunctive relief without posting bond, in addition to any other remedy, and may terminate your Membership immediately under Section 16.2. This Section survives termination.
14.8 Confidential Business Information
Wholesale price lists, the contents of the virtual office, and Member contact and account information are confidential business information of iEvolution. You may use them to operate your own Membership and for no other purpose. You may not sell, publish, or transfer them, and you may not use another Member's contact details for any purpose unrelated to iEvolution.
14.9 Materials
You may not create or distribute materials that alter iEvolution's brand assets, that make product claims not authorized under Section 13.1, or that make income claims without the disclaimer required under Section 13.2.
Images & Recordings
You permit iEvolution to record and use photographs, video, audio, and other media of you or your likeness captured at iEvolution events or supplied by you, and to use that media in iEvolution's marketing, without further compensation. iEvolution will use such media in a manner that respects your dignity and reputation, and will stop using media of you within a reasonable period after you withdraw this permission in writing.
Suspension & Termination
16.1 By You
You may cancel at any time under Section 4.3.
16.2 By iEvolution
iEvolution may suspend or terminate your Membership where you breach this Agreement or the Member Code of Conduct. Depending on the seriousness and recurrence of the breach, iEvolution may issue a written warning, suspend your account and withhold pending Commissions while it investigates, reverse Commissions earned as a direct result of the breach, or terminate the Membership.
Fraud, forgery, manipulation of the commission system, resale on prohibited platforms under Section 8.2, product or income claims that expose iEvolution to regulatory action, and conduct constituting a crime are grounds for immediate termination without prior warning.
16.3 Appeal
If your Membership is suspended or terminated you may appeal in writing within twenty (20) calendar days of notice. The appeal is decided by someone other than the person who made the original decision, and that decision is final.
16.4 Inactivity
A Membership that is not renewed expires at the end of its term. Expiry is not a termination for breach and carries no finding against you.
Effect of Termination or Non-Renewal
When your Membership ends, whether by cancellation, expiry, or termination:
Sections 6, 7.3, 11, 13, 14, and 18 to 23 survive the end of this Agreement.
Taxes & Reporting
You are solely responsible for reporting and paying tax on any income you earn under this Agreement. iEvolution does not withhold income tax from Commissions.
Where required by law, iEvolution will issue you an IRS Form 1099-NEC reporting nonemployee compensation paid to you during the calendar year. You consent to receive that form electronically or by mail. You must provide a valid Form W-9 or the equivalent tax identification required in your jurisdiction, and iEvolution may withhold withdrawals until it is provided.
You are responsible for collecting and remitting any sales, use, or value-added tax due on products you resell.
Modification of Terms
iEvolution may modify this Agreement. Modifications take effect thirty (30) calendar days after they are published in the virtual office and on the iEvolution website, and iEvolution will notify Members by email when it makes a material change. Continuing to use your Membership after that period constitutes acceptance. If you do not accept a modification, cancel under Section 4.3 before it takes effect.
The dispute resolution provisions in Section 21 may be modified only by mutual written consent.
Governing Law
This Agreement, and any dispute arising out of or related to it, is governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Nothing in this Section deprives you of the protection of any mandatory consumer law of your country or state of residence that cannot be varied by agreement.
Dispute Resolution
21.1 Informal Resolution First
Before starting any formal proceeding, you agree to contact support@ievolutionpro.com and give iEvolution thirty (30) days to resolve the matter. Most disputes are resolved this way.
21.2 Arbitration
Any dispute not resolved informally is settled by binding arbitration seated in the State of Wyoming, administered under the Commercial Arbitration Rules of the American Arbitration Association and governed by the Federal Arbitration Act. Both parties are entitled to discovery as allowed under the Federal Rules of Civil Procedure. This agreement to arbitrate survives termination of this Agreement.
21.3 Class Action Waiver
To the fullest extent permitted by law, disputes are resolved individually. You and iEvolution each waive the right to bring or participate in any class, collective, or representative proceeding.
21.4 Injunctive Relief Preserved
Nothing here prevents either party from applying to a court of competent jurisdiction for injunctive or other equitable relief to protect its interests before, during, or after any arbitration.
21.5 Small Claims
Either party may bring an individual claim in small claims court where the claim qualifies.
Time Limitation
Any claim arising out of or related to this Agreement must be brought within one (1) year of the conduct giving rise to it, to the extent that a contractual limitation period is enforceable under applicable law.
Miscellaneous
23.1 Entire Agreement
This Agreement, together with the Member Code of Conduct, the Terms & Conditions, the Refund & Return Policy, and the Privacy Policy, is the entire agreement between you and iEvolution regarding the Membership, and supersedes all prior agreements on that subject, including the iEvolution Independent Brand Partner Agreement and any Policies and Procedures issued under it.
23.2 Order of Precedence
Where this Agreement conflicts with another iEvolution document on a matter specific to Members, this Agreement controls. Where it conflicts with the Terms & Conditions on a matter applying to all site users, the Terms & Conditions control.
23.3 Severability
If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, and the rest of the Agreement remains in force.
23.4 No Waiver
A failure to enforce any provision is not a waiver of it.
23.5 Assignment
You may not assign or transfer your Membership or this Agreement without iEvolution's prior written consent. iEvolution may assign this Agreement without restriction.
23.6 No Exclusivity
Your Membership is not exclusive. You may hold memberships, distributorships, or affiliate relationships with other companies. You may not, however, promote a competing supplement brand through any channel, account, event, or communication in which you present yourself as an iEvolution Member, and you may not use iEvolution's materials, price lists, or Member information to promote any other company.
23.7 Force Majeure
Neither party is liable for a failure or delay caused by events beyond its reasonable control.
23.8 Counterparts and Electronic Acceptance
Your electronic acceptance of this Agreement at checkout has the same effect as a signature.
Transition from the IBP Program
24.1 Conversion
On the effective date, the iEvolution Independent Brand Partner program ends and every person holding an active IBP account on that date becomes a Member under this Agreement. There is no separate legacy tier, no grandfathered plan, and no continuing multi-level compensation of any kind.
24.2 What Replaces the Old Plan
Multi-level commissions, ranks, qualification volumes, group volume, and all downline-based bonuses are discontinued in full. A converted Member earns only what Sections 09 and 10 of this Agreement provide: the forty percent (40%) Affiliate Commission on sales through their Affiliate Link, the thirty dollar ($30.00) Membership Commission, and the ten percent (10%) Referral Commission on the Member Orders of Members they personally referred.
24.3 What Happens to a Former Downline
Members you personally enrolled remain attached to you and are your directly referred Members for the purposes of Section 10. Every other person in your former organization is reattached to the Member who personally enrolled them.
No Member loses the people they personally enrolled, and no Member continues to earn on anyone beyond that first level.
24.4 Existing Term Honored
A converted Member keeps wholesale pricing, an Affiliate Link, and commission eligibility for the remainder of the term already paid for under the IBP Agreement, at no additional charge. The Membership Fee under Section 05 becomes payable at that term's first renewal date, on the terms set out in Section 04.
24.5 Commissions Earned Before Conversion
Commissions and bonuses properly earned under the IBP compensation plan before the effective date, and not reversed, remain payable and will be paid in the ordinary course. Conversion does not forfeit them.
24.6 Acceptance
Converted Members will be asked to accept this Agreement and the Member Code of Conduct on their next sign-in to the my iEvolution virtual office. Wholesale pricing, Affiliate Links, and commission eligibility continue on acceptance. A converted Member who does not wish to accept may cancel under Section 4.3 and remains entitled to any amount payable under Section 24.5.
24.7 Notice
iEvolution will give every affected account holder at least thirty (30) days' written notice of the effective date, together with this Agreement and the Member Code of Conduct.
24.8 Ranks and Titles
Ranks, titles, and recognition levels awarded under the IBP program are retired on the effective date and carry no continuing benefit, pricing advantage, or commission entitlement.
24.9 Superseded Documents
The iEvolution Independent Brand Partner Agreement, the IBP Code of Honor and Ethics, and any Policies and Procedures issued under them cease to apply on the effective date and are superseded in full by this Agreement and the Member Code of Conduct.
Electronic W-9 Certification
Where you submit a Form W-9 electronically through the virtual office, you certify under penalty of perjury that: (1) the taxpayer identification number shown is your correct number, or you have applied for one; (2) you are not subject to backup withholding, because you are exempt, because you have not been notified by the Internal Revenue Service that you are subject to backup withholding for failure to report interest or dividends, or because the IRS has notified you that you are no longer subject to it; and (3) you are a U.S. citizen or other U.S. person.
